Terms of Service

1. Acceptance of Terms

By accessing or using Portaal ("the Service"), operated by Boreal Tech Solutions, Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Portaal is a SaaS platform that helps marketing agencies onboard their clients by securely requesting and managing access to advertising platforms (Meta, Google, TikTok, LinkedIn, and others) through OAuth authentication. The Service also provides access monitoring, reporting, and client management tools.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Access or attempt to access accounts or data without proper authorization
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to collect, store, or process data in violation of applicable privacy laws
• Resell or redistribute the Service without our written consent
• Use automated means to access the Service beyond the provided API

5. Client Consent

When using Portaal to request access to your clients' advertising accounts, you represent and warrant that you have obtained proper authorization from your clients to request such access. You are solely responsible for your relationship with your clients and for ensuring compliance with applicable laws.

6. Subscription and Billing

Portaal offers free and paid subscription plans. Paid plans are billed monthly or annually via Stripe. You may cancel at any time. Refunds are provided on a pro-rata basis for annual plans cancelled within the first 30 days. Monthly plans are non-refundable.

7. Platform Access and Tokens

OAuth access tokens obtained through the Service are stored encrypted and are used solely to grant and maintain access permissions as directed by the agency. We do not use these tokens for any purpose other than providing the Service. Tokens may be revoked at any time by the client or the agency through the Service or through the respective platform.

8. Data Processing

We process data on behalf of agencies as a data processor. Agencies are the data controllers for their client data. Our processing activities are described in our Privacy Policy. For agencies subject to GDPR or other data protection laws, a Data Processing Agreement is available upon request.

9. Intellectual Property

The Service, including its design, code, and content, is owned by Boreal Tech Solutions, Inc. You retain ownership of your data, branding assets, and content uploaded to the Service. You grant us a limited license to use your content solely to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Portaal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We are not responsible for downtime caused by third-party platforms (Meta, Google, etc.), force majeure events, or scheduled maintenance (for which we will provide reasonable notice).

12. Third-Party Platforms

Portaal integrates with third-party platforms. We are not responsible for changes to their APIs, terms of service, or availability. Portaal is not affiliated with, endorsed by, or sponsored by Meta Platforms Inc., Google LLC, TikTok, LinkedIn, or any of their subsidiaries.

13. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will provide reasonable notice when possible and allow you to export your data.

14. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada. Any disputes shall be resolved in the courts of Quebec.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the Service after changes constitutes acceptance.
